As between GE Capital and any Site User of this website or the marketing tool kits or work product contained herein, GE Capital shall retain all title to all GE Capital Proprietary Materials and all embodiments thereof, including all copies thereof and all rights to patents, copyrights, trademarks, trade secrets and other intellectual property rights inherent in such GE Capital Proprietary Materials. No Site User shall acquire any proprietary rights whatsoever in the GE Capital Proprietary Materials other than the specific license herein granted below. "GE Capital Proprietary Materials" shall mean any and all intellectual property referred to above, including but not limited to all such materials contained on the website or in any marketing tool kits so provided, as well as data, designs, specifications, improvements, ideas, techniques, materials, program materials, compilations, pictorial materials, schematics, and other items, supplied by GE Capital to the User through this website and marketing tool kit.

No Site User shall change, modify or in any way alter the GE Capital Proprietary Materials in its use thereof.

Site Users that are granted access to this website pursuant to the CareCredit Acceptance Agreement For Participating Professionals (the "Agreement") are herein referred to as "Professional Users," GE Capital hereby grants to each Professional User a non-exclusive, non- transferable, royalty-free license (the "License") for the period set forth below to access and use the GE Capital Proprietary Materials contained on the website and marketing tool kit solely to market the CareCredit products by User in connection with the Agreement. Any person or entity to whom access is granted to this website or the marketing tool kit by virtue of the Agreement and by and through any such Professional User (including any employee, member, partner, shareholder or other individual given authority to use such toolkit and this website under and pursuant to such Professional User's contractual relationship with GE Capital or its affiliates) shall be permitted to use this website and marketing tool kit but shall not individually be granted the License herein referenced.

Any use of this website or marketing tool kit, and the License to use the GE Capital Proprietary Materials granted herein by a Professional User, shall cease immediately upon the expiration or termination of the Agreement. Additionally, GE Capital may terminate the License upon seven days prior written notice to User for any reason, or immediately if there is a breach by Professional User of these terms of use or of the Agreement. Upon such expiration or termination for any reason, Professional User shall immediately cease using any and all GE Capital Proprietary Materials for any purpose, including but not limited to any materials created by use of this website and shall destroy all such work created as a result thereof, and the License shall terminate for all purposes.

Any Site User that is accessing this site on behalf of GE Capital and pursuant to a contractual arrangement with GE Capital hereby certifies that he, she or it (i) is party to a written agreement with GE Capital or its affiliates that includes provisions relating to the use of GE Capital Proprietary Materials, (ii) shall use the website and the marketing tool kit pursuant to and subject to such Site User's obligations contained in such written agreement between such Site User and GE Capital or its affiliates, (iii) acknowledges the provisions contained herein with respect to such use and (iv) agrees that such Site User's use or rights may be terminated at any time due to a breach of these terms of use or any breach of such underlying contract or agreement with GE Capital.

Each Site User that is an employee of GE Capital or its affiliates acknowledges his or her obligations with respect to the GE Capital Proprietary Materials as contained in the Spirit and Letter and other applicable GE policies.

Each Site User agrees that in the event of any breach or threatened breach of the License, the terms of use herein contained or any other rights herein granted, that money damages would be an inadequate remedy and GE Capital shall be entitled to seek injunctive relief and any other remedies available at law or otherwise.
